Relating to the Supply of Goods and Services by YiwuSealand (Yiwu, China)
1. Definitions
“Company” means YiwuSealand, its agents, affiliates, assigns, and successors.
“Client” means any individual or entity purchasing goods or services through or from YiwuSealand.
“Services” means sourcing, inspection, quality control, logistics coordination, consulting, and any other service provided by YiwuSealand.
“Goods” means all products or merchandise sourced, inspected, or delivered through YiwuSealand.
“$” refers to United States Dollars (USD), unless otherwise stated.
2. Scope of Agreement
By engaging YiwuSealandโs Services, the Client accepts these Terms & Conditions, which govern all transactions and prevail over any Client-provided terms unless expressly agreed otherwise in writing.
YiwuSealand operates under internationally recognized standards such as FOB (Free on Board) Incoterms unless otherwise specified.
YiwuSealand reserves the right to amend these Terms without notice. Updated Terms become effective once posted online or communicated to Clients.
3. Services Provided
YiwuSealand agrees to:
Source products or services based on Client specifications;
Conduct inspections according to Acceptance Quality Limit (AQL) standards;
Coordinate logistics and shipping through trusted providers;
Provide professional advice but not act as an agent, fiduciary, or guarantor for either party unless explicitly agreed.
Services are provided on a best-effort basis with appropriate diligence but without warranties unless specifically stated.
4. Client Obligations
The Client agrees to:
Provide clear, complete, and accurate product specifications, timelines, certifications, and relevant documents before sourcing begins;
Cooperate fully with YiwuSealand’s teams for inspections, shipping coordination, and approvals;
Pay invoices promptly, within the period stated in the invoice (typically 7 days unless otherwise agreed);
Maintain confidentiality regarding suppliers, manufacturer contacts, and any information disclosed by YiwuSealand;
Obtain necessary import licenses, certifications, or clearances needed for their market.
5. Pricing, Payments & Invoicing
All quotes provided by YiwuSealand are based on current market conditions and subject to change.
The Client must:
Pay all service fees, product costs, logistics fees, and applicable taxes;
Cover any associated banking, customs, insurance, or incidental fees;
Understand that partial or non-payment may result in service suspension, legal action, or product forfeiture.
6. Non-Circumvention & Confidentiality
Clients acknowledge that YiwuSealand introduces factories, manufacturers, and business contacts with the expectation of protection:
The Client shall not bypass, circumvent, or directly engage with any supplier introduced by YiwuSealand without written consent for five (5) years following the introduction.
Any breach will result in damages payable to YiwuSealand, including lost commissions, sourcing fees, or legal recovery costs.
All business discussions, supplier details, price negotiations, and communications are confidential and must not be shared externally without written approval.
7. Inspection, Quality Control & Liability
YiwuSealand conducts inspections based on standard international sampling procedures (ISO 2859-1) and Client-specified quality criteria.
Inspections provide risk mitigation but do not guarantee the absolute absence of defects.
Clients are responsible for final product approval before shipment.
YiwuSealand is not liable for latent defects, post-shipment damage, misuse, or issues arising beyond reasonable control.
8. Logistics & Risk Transfer
Shipping coordination provided by YiwuSealand is based on Incoterms (FOB, CIF, DDP, etc.).
Risk transfers to the Client once goods are loaded onto the shipping vessel, unless otherwise agreed.
Clients are responsible for obtaining proper insurance for cargo during transport if desired.
9. Limitation of Liability
YiwuSealand’s maximum liability for any claim, including negligence or breach of contract, is strictly limited to the total amount paid by the Client for the affected service.
YiwuSealand is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or opportunity.
10. Force Majeure
YiwuSealand shall not be responsible for delays, failures, or losses due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, trade restrictions, or transportation disruptions.
11. Termination
YiwuSealand may suspend or terminate services immediately if:
The Client breaches these Terms;
The Client fails to make payments as agreed;
Continued service becomes impracticable due to external factors.
Termination does not release the Client from payment obligations accrued prior to termination.
12. Jurisdiction and Governing Law
These Terms are governed by the laws of Hong Kong SAR or China Mainland, as determined by YiwuSealand.
Any disputes shall be resolved in the courts of Hong Kong, or another jurisdiction nominated by YiwuSealand.
